NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY
GRANT OF OPTIONS UNDER THE COMPANY'S ALL EMPLOYEE SHARE PLAN
The Company announces that the following persons discharging managerial responsibilities (PDMRs) have on 9 April 2019 been granted options ("Options") to purchase 1 pence ordinary shares in the capital of the Company ("Shares") pursuant to the Company's All Employee Share Plan at an exercise price per Share of £2.8768 for the UK Sharesave and £3.0711 for the US Employee Stock Purchase Plan.
The awards in favour of each of the PDMRs set out below are made under Merlin's Global All Employee Share Plan which is available to all Merlin's employees, subject to qualifying conditions.

The Options issued under the UK Sharesave scheme are, in normal circumstances, not exercisable until the completion of a 3 year savings period, which will end on 1 May 2022 and will then be exercisable for a period of 6 months. The exercise period will, therefore, in normal circumstances, be from 1 May 2022 until 31 October 2022.
The Options issued under the US Employee Stock Purchase Plan are, in normal circumstances, not exercisable until the completion of a 2 year savings period, which will end on 1 May 2021. The Options will then automatically vest on this date.
