Followingan award to Dr B E Grote by the Company's Remuneration Committee on 15 February2007 under the Executive Directors' Incentive Plan in respect of the performanceperiod 2004-2006, Dr B E Grote acquired a net interest in 12,548 AmericanDepositary Shares (equivalent to 75,288 Ordinary Shares) on 15 February 2007.The Trustee of the BP Employee Share Ownership Trust purchased 12,548 AmericanDepositary Shares on 16 February 2007 at $62.91 per share to satisfy this award.
