The following replaces the Brewin Dolphin Holdings PLC announcement released on 27 February 2014 at 16.10 with RNS Number 1401B16. The previous announcement indicated that number of ordinary shares held by Stephen Jones, PDMR was 87,228 representing approximately 0.0318% of the total issued share capital instead of the correct shareholding of 164,134 ordinary shares, representing approximately 0.0598% of the total issued share capital. All other information remains unchanged.

Notification of Transaction of Directors, Persons Discharging Managerial Responsibility or Connected Persons

In accordance with Disclosure Rules 3.1.4R(1)(a), on 26 February 2014 the following Directors and/or PDMRs as set out in the table below wereawarded conditional share awards over ordinary shares of 1 pence each ("Ordinary Shares") in the Company (each an "Award") under the Company's Long Term Incentive Plan (the "Plan").

The awards will vest 3 years from the date of grant, subject to the achievement of associated performance criteria. Executive Directors are required to hold net of tax vested shares for a period of 2 years after vesting. The Awards are subject to good leaver provisions. Save as set out in the Plan, the awards may not be sold, transferred, charged or otherwise disposed of prior to exercise.
