Directors' share options
On 10 September 2009 the directors granted to Dale Todd, the Company's Finance Director, an option over 10,000 shares, which equates to 0.09% of the issued share capital of the Company, with an exercise price of 150.5p. The option vests and may be exercised from the date of grant. The option expires on 10 September 2019.
Mr Todd currently holds 3,477 shares in the Company beneficially, and is interested in 53,532 shares in his capacity as a trustee of the Maintel Holdings Plc Share Incentive Plan.
In aggregate, options have been issued over 2.59% of the current issued share capital, with a maximum of a further 1% conditional on Mr Buxton (the Company's Chief Executive) purchasing matching shares in the open market. The number of shares under option and the vesting and exercise prices may be adjusted at the discretion of the Remuneration Committee in the event of a variation in the issued share capital of the Company.
