Director Shareholdings – Grant of Awards

On 3 March 2016, UBM plc (“UBM” or the “Company”) was notified of the following transaction in its ordinary shares of 10p each (“Shares”) by Directors of UBM. 

Performance Share Plan

On 3 March 2016, awards were granted to the Directors of the Company under the UBM 2014 Performance Share Plan (“PSP”) as shown below. The number of Shares awarded was calculated by reference to a price of £5.88, being the average of the Company’s middle market closing price for a Share for the five consecutive dealing days commencing on 25 February 2016.

The Directors will become entitled to receive the Shares after a period of three years, subject to continued employment with UBM and to the achievement of a number of performance conditions relating to growth in Earnings per Share; Return on Average Capital Employed; and relative Total Shareholder Return. The number of Shares shown below represents the maximum that may be acquired if all performance conditions are achieved in full. 

Deferred Bonus Plan

On 3 March 2016, in accordance with the Company’s Deferred Bonus Plan, the Directors listed in the table below acquired an interest in further Shares following the investment of a portion of their bonus entitlement for the year ended 31 December 2015. The numbers of Shares (as set out in the table), were calculated by reference to a price of £5.88, being the average of the Company’s middle market closing price for a Share for the five consecutive dealing days commencing on 25 February 2016. The Directors will become entitled to receive the Shares after a period of three years, subject to continued employment with UBM.

This announcement is made following notifications made in accordance with Disclosure and Transparency Rule 3.1.2R.

The transaction was carried out in London.
