Notification of transactions of persons discharging managerial responsibilities (“PDMRs”)
In accordance with DTR 3.1.4R, RSA Insurance Group plc (the “Company”) announces that it was notified (in accordance with DTR 3.1.2R) that the following acquisitions of the Company's ordinary shares of 27.5 pence each by PDMRs of the Company and/or their connected persons took place. Each of these transactions took place pursuant to the 3 for 8 Rights Issue of 1,380,976,863 New Ordinary Shares at 56 pence per New Ordinary Share announced by the Company on 25 March 2014.
New Ordinary Shares (“Shares”) acquired pursuant to the Rights Issue in respect of Beneficial Interests, Voluntary Invested Deferred Shares held under the Long Term Incentive Plan (“VIDS”) and Shares held under the Company’s All Employee Sharebuild Plan (“Sharebuild”, an HMRC approved Share Incentive Plan):

Notes
1. Shares are held in a nominee account registered in the name of Murray Asset Management Limited.
2. 342,982 of the Shares acquired in respect of Beneficial Interests are held in a nominee account registered in the name of LR Nominees. 4,426 of these Shares are held in Mr Brown’s account and 338,556 Shares are held in the account of his spouse, Sarah Brown. 224 Shares acquired are held in Mr Brown’s Halifax ISA account. Mr Brown sold 371 rights for Shares held in his Halifax account in order to purchase the remainder of his rights in that account.
3. 4,320 of the Shares acquired in respect of Beneficial Interests are held in a nominee account registered in the name of Brewin Nominees.
4. 707 of the Shares acquired in respect of Beneficial Interests are held in a nominee account registered in the name of UBS Nominees. 66,684 of the Shares acquired in respect of Beneficial Interests are held in a JP Morgan account in the name of Mr Houghton’s spouse, Sarah Houghton.
5. All Shares acquired are held in nominee accounts in the name of Rock Nominees. 241,153 Shares are held in Mr Lea’s account and 97,330 Shares are held in the name of his spouse, Mrs Linda Lea.
6. Shares acquired are held in a nominee account registered in the name of Strand Nominees.
7. Shares acquired are held in Mr Scicluna’s Halifax account.
8. Shares acquired are held in Mr Streppel’s Trust Partners NV account.
9. 13,785 of the Shares acquired are held in a nominee account registered in the name of Share Nominees and 3,150 of the Shares acquired are registered in the name of Forest Nominees.
10. Shares acquired in respect of Beneficial Interests are held in an account registered in the name of UBS Nominees.
11. 75,378 of the Shares acquired in respect of Beneficial Interests are held in an account registered in the name of UBS Nominees. 8,450 of the Shares acquired in respect of Beneficial Interests are held in personal ISA accounts, of which 3,835 of the Shares are in the name of Mrs Evans’ spouse, Clive Ricketts.
12. Shares acquired in respect of Beneficial Interests are held in an account in the name of UBS Nominees. Mr Holliday-Williams sold 2,118 rights under Sharebuild at a price of £0.376.
13. Shares acquired in respect of Beneficial Interests are held in an account in the name of UBS Nominees.
14. Shares acquired in respect of Beneficial Interests are held in an account in the name of UBS Nominees. Mrs Ramsay sold 14,835 rights under VIDS, 2,804 rights under Sharebuild and 18,174 rights for shares held in her UBS nominee account at a price of £0.3829, £0.376 and £0.32 respectively.
15. Shares acquired in respect of Beneficial Interests are held in a nominee account registered in the name of UBS Nominees. Mr Saunders sold 35,370 rights under VIDS and 56,306 rights held in his UBS Nominee account at a price of £0.382999 and £0.32 respectively.
16. Shares acquired in respect of Beneficial Interests are held in an account in the name of UBS Nominees.
17. Shares acquired in respect of Beneficial Interests are held in an account in the name of UBS Nominees. Mr Weymouth sold 4,491 rights under VIDS and 2,804 rights under Sharebuild at a price of £0.382999p and £0.376 respectively.
18. 91,273 of the Shares acquired in respect of Beneficial Interests are held in an account in the name of First Direct and 2,531 Shares are registered in UBS Nominees. Mr Whittaker sold 24,061 rights under VIDS, 2,804 under Sharebuild and 152,607 rights held in his First Direct nominee account at a price of £0.3829, £0.376 and £0.3375 respectively.
