UBM plc Notification of transactions in shares by Directors 9 March 2015 On 6 March 2015, UBM plc ("UBM" or the "Company") was notified of the followingtransaction in its ordinary shares of 10p each ("Shares") by Directors of UBM. Performance Share Plan On 6 March 2015, awards were granted to the Directors of the Company under theUBM 2014 Performance Share Plan ("PSP") as shown below. The number of Sharesawarded was calculated by reference to a price of 548.30 pence, being theaverage of the Company's middle market closing price for a Share for the fiveconsecutive dealing days commencing on 27 February 2015. The Directors will become entitled to receive the Shares after a period ofthree years, subject to continued employment with UBM and to the achievement ofa number of performance conditions relating to growth in Earnings per Share;Return on Average Capital Employed; and relative Total Shareholder Return. Thenumber of Shares shown below represents the maximum that may be acquired if allperformance conditions are achieved in full. The numbers of Shares (as set out in the table), werecalculated by reference to a price of 548.30 pence, being the average of theCompany's middle market closing price for a Share for the five consecutivedealing days commencing on 27 February 2015. The Directors will become entitledto receive the Shares after a period of three years, subject to continuedemployment with UBM.
