Director/PDMR Shareholding

Subsequent to this morning's admission of 4,920,863 ordinary shares of 7.5p each ("Ordinary Shares") in relation to part of the contingent consideration awarded to certain of Naked Wines' management (as disclosed on 10 April 2015), the Company announces that Rowan Gormley, Chief Executive Officer, now has a beneficial interest in 4,528,881 Ordinary Shares, representing 6.42% of the Company's issued share capital. Mr. Gormley's holding is subject to clawback provisions if the performance criteria attached to these contingent consideration shares are not achieved.

The Company also announces that as at today's date, the Company's total issued share capital is 70,577,212 ordinary shares of 7.5p each ("Ordinary Shares"). Majestic Wine PLC does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in Majestic Wine PLC is 70,577,212.

The above figure 70,577,212 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Majestic Wine PLC under the FCA's Disclosure and Transparency Rules.
