RSA Insurance Group plc (the "Company") received notification on 14 April 2011, of the following transactions in its ordinary shares of 27.5p each ("Ordinary Shares") by PDMRs.
On 9 April 2011, awards granted on 9 April 2008 under the Company's Long Term Incentive Plan ("LTIP") vested in the amounts shown following the assessment of performance and employment conditions to which they were subject. The remaining balance of the LTIP awards granted on 9 April 2008 lapsed. On 11 April 2011, the following shares were sold at a price of 133.3 pence per share:

The Company received notification on 15 April 2011 that on 14 April 2011, Simon Lee, a PDMR of the Company sold 155,887 Ordinary Shares at a price of 132.7 pence per share.

The transactions were carried out in London.
