Synergy Health PLC ("Synergy" or "the Company")
The Company has today been notified that following the vesting of certain share options awarded to Directors of the Company under the following schemes, certain Directors exercised some or all of these options on 23 July 2009. Those options which have not been exercised have been retained by the Director. The options were granted between 2003 and 2006 and the LTIP options were subject to meeting certain performance criteria. Details of the options exercised are set out below:

As a result of these share option exercises, a certain number can be applied to the Synergy LTIP Co-Invest Option Scheme. Accordingly, Marcello Smit has allocated 1,500 of the retained exercised share options to the scheme. Therefore, a total of 3,000 conditional LTIP Co-Invest options have been awarded to Marcello Smit. Further to the exercise of options announced on 22 July 2009, Richard Steeves has also allocated 14,448 shares to the LTIP Co-Invest Scheme, resulting in a total of 28,896 conditional LTIP Co-Invest options being awarded to Dr. Steeves.
The LTIP Co-Invest arrangement requires that the participant to whom the award is to be made invests in Ordinary Shares in the Company and continues to hold those Ordinary Shares throughout the three year measurement period. At the end of the measurement period, depending upon the growth in earnings per share of the Company over the measurement period, the participant will receive a number of "matching" shares at nominal value under the LTIP Co-Invest.
