NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITIES AND CONNECTED PERSONS
This notification is made in accordance with DTR 3.1.4(1).
On 25 November 2014, awards over ordinary shares in Al Noor Hospitals Group plc (the "Company") were made to the following directors and persons discharging managerial responsibilities ("PDMRs") under the Al Noor Hospitals Group plc Long Term Incentive Plan 2013:

No consideration was paid for the grant of the Awards, which are structured as conditional awards.
The vesting of an award is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company. The awards will normally vest on the later of the third anniversary of grant and the determination of the performance conditions, provided the individual remains an employee or officer of the group.
The Company was informed of the above transactions on 25 November 2014.
