Transactions in shares by Person Discharging Managerial Responsibility (“PDMR”)

RSA Insurance Group plc (the “Company”) received notification on 24 September 2013, of the following transactions in its ordinary shares of 27.5p each (“Ordinary Shares”) by Rowan Saunders on 19 September 2013.
Mr Saunders exercised 65,972 share options under the Company’s Executive Share Option Scheme as detailed in the table below (the “Exercise”).

Mr Saunders sold 57,131 shares at a price of £1.240 per share to cover the cost of the Exercise, associated tax liabilities and commission. He retained the remaining 8,841 shares.
