Notification of transactions by persons discharging managerial responsibility under DTR 3.1.4R(1)

Ultra Electronics Holdings plc.

The Company announces that on 25th November 2010 Sanne Trust Company Limited, acting as Trustee for the Ultra Electronics Long Term Incentive Plan 2007 ("the Plan"), purchased 39,280 ordinary 5p shares of the Company (representing approximately 0.057% percent of issued share capital of the Company) at a price of £16.258409 per share based on the market price on 25th November 2010.

These purchases were made to increase the number of shares held by the Trustees in respect of awards made in March 2010 under the Plan, to the Company's Executive Directors and Persons Discharging Managerial Responsibility.
