Notification of transactions by persons discharging managerial responsibility under DTR 3.1.4R(1)

Ultra Electronics Holdings plc. ("The Company")

The Company announces that on 6th December 2010 Sanne Trust Company Limited, acting as Trustee for the Ultra Electronics Long Term Incentive Plan 2007 ("the Plan"), purchased 19,720 ordinary 5p shares of the Company (representing approximately 0.02872% percent of issued share capital of the Company) at a price of £16.81 per share based on the market price on 6th December 2010.

The shares sold were by employees in the Company's 2007 SAYE Scheme following the maturity of the 3 year options under the scheme. These purchases were made to increase the number of shares held by the Trustees in respect of awards made in 2010 under the Plan, to the Company's Executive Directors and Persons Discharging Managerial Responsibility.
