NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
The information listed below relates to transactions notified in accordance with DR3.1.4R(1)a and, in respect of directors of QinetiQ Group plc only, DR3.1.4R(1)b.
QinetiQ Group plc (the "Company") announces that it has been notified by Sir John Chisholm, the Company's Chairman, that on 27 August 2008, having obtained the necessary clearance under the Model Code, the following ordinary shares of 1 penny each in the Company ("Ordinary Shares") were sold by Sir John Chisholm:

This transaction was undertaken to meet a Capital Gains Tax liability, which was triggered by the transfer of 9,269,202 Ordinary Shares into a family trust (previously notified via a Regulatory Information Service on 28 March 2008). The disposal was undertaken at a price of 220.00p per Ordinary Share.
As a result of the above, the remaining interest of Sir John in the Company's Ordinary Shares is as follows:
