Synergy Healthcare PLC08 September 2005 SYNERGY HEALTHCARE PLCDirectors Shareholdings8 September 2005 The Company announces that it has been informed that the following share purchases took place yesterday. Richard M Steeves, Chief Executive, has purchased 12,680 ordinary shares at 432 pence per share. Following this purchase he now holds 1,995,000 shares, representing 5.4% of the issued share capital of the Company. Ivan M Jacques, Group Finance Director, has purchased 2,320 ordinary shares at 432 pence per share. Following this purchase he now holds 10,000 shares, representing 0.03% of the issued share capital of the Company. These share purchases form part of the implementation of the Long Term Incentive Plan. Accordingly, under the terms of the co-invest element of the LTIP scheme Richard M Steeves has been granted an option over 69,274 ordinary shares and Ivan M Jacques has been granted an option over 20,000 ordinary shares. In either case the exercise of the option depends upon the performance of the Company over the measurement period.
