Director/PDMR Shareholding

FirstGroup plc 26 June 2013 Notification of transactions of directors and persons discharging managerial responsibilities ("PDMRs") In accordance with DTR 3.1.4R, FirstGroup plc (the "Company") announces that itwas today notified (in accordance with DTR 3.1.2R) that the followingacquisitions of the Company's ordinary shares of 5 pence each by PDMRs anddirectors of the Company and/or their connected persons took place in Londontoday. Each of these transactions took place pursuant to the 3 for 2 rightsissue at 85 pence per new ordinary share announced by the Company on 20 May2013. The Company also announces in accordance with DTR 3.1.4R that it was notified(in accordance with DTR 3.1.2R) that purchases took place in London on 25 June2013 of the Company's ordinary shares of 5 pence by each Non-Executive Directorof the Company who has elected to receive 40% of his fee in the form of sharesin the Company (other than David Begg and Colin Hood who receive all of theirfees in the form of shares in the Company). Tim O'Toole, Chief Executive, haselected to receive part of his remuneration each month in the form of shares inthe Company. Arrangements have been made for these shares to be purchased ontheir behalf in the market on a regular basis. The shares were purchased at aprice of 98.75 pence per share.
