St. James's Place PLC05 March 2007 St. James's Place plc ("SJP") SJP was notified on 2 March 2007 of the following changes in interests inordinary shares of 15p in SJP held by the executive Directors and PersonsDischarging Managerial Responsibilities ("PDMRs") named below. The actual amount of SJP shares which may be acquired on vesting of an awardis dependent on the achievement of prescribed performance targets over a threeyear performance period which commenced on 1 January 2007 and ends on 31December 2009. Two thirds of an award will be dependent on growth in adjustedearnings per share and one third on total shareholder return. With the exception of the changes notified in this announcement, the Directors'interests in ordinary shares of the Company are unchanged.
