Warner Estate Holdings PLC ("the Company")
Shareholdings of Directors and PDMRs
Messrs P C T Warner and M J Stevens, Directors of the Company, purchased 1,162 Ordinary shares and 1,164 Ordinary shares respectively, in the Company on 30th January 2009 at 21.50p each under the Company's All Employee Share Ownership Plan ("the AESOP"). Mr. P C T Warner purchased 581 of his shares as Partnership Shares and 581 shares were purchased by the Company as Matching shares under the rules of the AESOP. Mr. M J Stevens purchased 582 of his shares as Partnership Shares and 582 shares were purchased by the Company as Matching shares under the rules of the AESOP. All shares were purchased on their behalf by Capita IRG Trustees Limited, the Trustee of the AESOP. The Trustee will hold the Shares in Trust for a minimum period of five years following the date of the purchase. The shares purchased represent less than 0.001 per cent. of the Company's issued ordinary share capital.

PDMRs of the Company, Ms S Harries and Messrs D J Lanchester, V B Vaghela and S Wigzell, each purchased 1,162 Ordinary shares and Messrs R Game and J Peacock purchased 1,164 Ordinary shares in the Company on 30th January 2009 at 21.50p each under the Company's All Employee Share Ownership Plan ("the AESOP").
