Announcement of Conditional Share Award
to Executive Directors
11 September 2009
Modern Water plc announces that on 10 September 2009 the following conditional share awards of ordinary shares of 0.25p each were made to the executive directors under the Modern Water plc Incentive Plan:
Neil McDougall, Executive Chairman - 250,000 shares, representing 0.42% of the issued share capital
Simon Humphrey, Chief Executive Officer - 250,000 shares, representing 0.42% of the issued share capital.
These awards are subject to achieving a performance condition, and will vest on 10 September 2012, to the extent that the performance condition has been satisfied.
Including these awards, the total outstanding shares in which the executive directors have an interest under conditional share awards and share options are:
Neil McDougall - 436,959 shares, representing 0.74% of the issued share capital
Simon Humphrey - 623,917 shares, representing 1.06% of the issued share capital.
The executive directors hold the following shares:
Neil McDougall - 6,265,000 shares, 10.64% of the issued share capital
Simon Humphrey - 1,812,000 shares, 3.08% of the issued share capital.
