Warner Estate Holdings PLC02 September 2005 Warner Estate Holdings PLC ("the Company") Directors' Shareholding Messrs. P C T Warner, P W Collins and R Moore, Directors of the Company, eachpurchased 38 Ordinary shares, and Mr M J Stevens, a Director of the Company,purchased 40 Ordinary shares in the Company on the 31st August 2005 at 628p eachunder the Company's All Employee Share Ownership Plan ("the AESOP"). Messrs. P CT Warner, P W Collins and R Moore purchased 19 of their shares as PartnershipShares and 19 shares each were purchased by the Company as Matching shares underthe rules of the AESOP. Mr M J Stevens purchased 20 of his shares as PartnershipShares and 20 shares were purchased as Matching Shares under the rules of theAESOP. All shares were purchased on their behalf by Capita IRG Trustees Limited,the Trustee of the AESOP. The Trustee will hold the Shares in Trust for aminimum period of five years following the date of the purchase. The sharespurchased represent less than 0.001 per cent. of the Company's issued ordinaryshare capital.
