Stagecoach Group PLC25 August 2006 Transaction by Director Stagecoach Group plc ("the Company") has been notified of the followingtransaction in the shares of the Company by a director of the Company. Thetransaction has been notified in accordance with Disclosure Rule 3.1.4R(1)(a). On 25 August 2006, Iain Duffin, Non-Executive Director sold 16,627 OrdinaryShares of 12/19th pence each in the Company and his wife, Dorothy Duffin, sold15,043 Ordinary Shares of 12/19th pence each in the Company. The shares weresold for a consideration of 118.125 pence each. Iain Duffin's personal pensionplan subsequently acquired 31,670 Ordinary Shares of 12/19th pence each in theCompany for a consideration of 118.125 pence each. The net result of these transactions is that the interests of Iain Duffin andhis connected persons in the share capital of the Company remain unchanged at31,670 Ordinary Shares of 12/19th pence, representing less than 0.01% of thetotal Ordinary Shares in issue.
