Notification of Transaction of Directors, Persons Discharging Managerial Responsibility or Connected Persons

This notification relates to a transaction notified in accordance with Disclosure Rules 3.1.4R(1)(a).

On 7 December 2012, Brewin Dolphin Holdings PLC (LSE:BRW) received notification that:

1. Matthew Butcher, a PDMR, has today paid up nil paid shares totalling 15,361 ordinary shares of 1 pence each ("Ordinary Shares"), (6,153 at a price of 162.5p and 9,208 at a price of 108.6p each) pursuant to the Company's Senior Employee Matching Purchase Scheme December 2007 and December 2008 grants respectively.

His resultant holding in Ordinary Shares in the Company is 66,482 ordinary shares representing approximately 0.0266% of the total issued share capital of the Company (of which 16,914 are nil paid ordinary shares) and the total number of shares over which options are held by him are 134,723.

2. Stephen Ford, a PDMR, has today paid up nil paid shares totalling 30,191 ordinary shares of 1 pence each ("Ordinary Shares"), (6,153 at a price of 162.5p and 24,038 at a price of 104.0p each) pursuant to the Company's Senior Employee Matching Purchase Scheme December 2007 and July 2008 grants respectively.

His resultant holding in Ordinary Shares in the Company is 191,111 ordinary shares representing approximately 0.0766% of the total issued share capital of the Company (of which 18,147 are nil paid ordinary shares) and the total number of shares over which options are held by him is 347,874.
