Pan Pacific Aggregates PLC25 April 2006 Pan Pacific Aggregates Plc25 April 2006 DISCLOSURE OF INTERESTS IN SHARES DEALING BY DIRECTOR Pan Pacific Aggregates plc ("the Company") was notified on the dates of therespective registrations described below that Terry Kirby ("Mr Kirby") hasbecome the legal owner of a further 3,000,000 ordinary shares of £0.001 in thecapital of the Company, representing 4.72% of the Company's issued share capitalof 63,561,765 ordinary shares. Previously these shares were held for thebenefit of Mr Kirby by other shareholders in the company: Deutschekapital GruppeLimited (2,000,000 shares); Donald Nicholson (a Director) (500,000 shares); andMilena Mueller 500,000 shares, as disclosed in the Admission Document publishedon 12 December 2005. The registrations of these shares in Mr Kirby's name weremade on 28 March 2006 (500,000 shares transferred from each of Donald Nicholsonand Milena Mueller) and 10 April 2006 (2,000,000 shares transferred fromDeutschekapital Gruppe Limited). The change in holdings involved the shares being registered in the name of MrKirby as required under a settlement entered into prior to the publication ofthe Admission Document and no consideration was involved. As far as the Company is aware, Terry Kirby is interested in 5,835,000 ordinaryshares (9.18% of the issued share capital), Deutschekapital Gruppe Limited isinterested in 11,000,000 ordinary shares (17.3%), Donald Nicholson is interestedin 4,400,001 ordinary shares (6.9%) and Milena Mueller is interested in3,843,332 ordinary shares (5.7%). All these shares are subject to lock-in and/ororderly market arrangements. 1,184,998 of the shares in which Milena Mueller isinterested are registered in the name of St George Capital Corp. and 3,900,000of the shares in which Don Nicholson is interested are registered in the name ofBuena Vista Holdings Ltd.
