GCP STUDENT LIVING PLC (THE “COMPANY”)

The Company was informed on 4 November 2015 that, following the conversion of 18,750 Convertible Redeemable Preference Shares (“C Shares”) into Ordinary shares on 28 October 2015, Mrs Catherine Dunscombe, spouse of Peter Dunscombe, a non-executive Director of the Company, is interested in a further 14,664 Ordinary shares.

Following this transaction, Mr Dunscombe is now interested in a total of 52,144 Ordinary Shares (representing 0.026% of the Ordinary Shares in issue). The legal and beneficial interest in these shares is held by Mrs Dunscombe.
