On 10 August 2015, 3i Group plc (the "Company") was notified that on 10 August 2015 Alan Giddins, a person discharging managerial responsibilities, sold at a price of 541.306p per share 239,735 ordinary shares of 73 19/22p each in the Company ("Shares") acquired on the vesting of a share award.

Also on 10 August 2015, 3i Group plc (the "Company") was notified that on 10 August 2015 Menno Antal, a person discharging managerial responsibilities, sold at a price of 541.306p per share 338,971 ordinary shares of 73 19/22p each in the Company ("Shares") acquired on the vesting of a share award.

The place of the above transactions was the London Stock Exchange.
