Mears Group PLC08 November 2006 MEARS GROUP PLC ("the Company") 8 November 2006 DIRECTOR'S SHAREHOLDING The Company received notification on 7 November 2006 of the followingtransactions on 3 November 2006 in the Company's ordinary shares of 1p each("Shares"): - Mr Reg Pomphrett, non-executive Director of the Company, sold 50,000Shares at 316.36p per Share. Following this disposal Mr Pomphrett's beneficialholding comprises 150,000 Shares, representing approximately 0.25% of theCompany's issued ordinary shares; and - the estate of a deceased shareholder ("the Estate"), of which Mr RPomphrett is an executor and is therefore deemed to have a non-beneficialinterest, sold 62,500 Shares at 316.36p per Shares.
