Director's Dealings
Primary Health Properties PLC ("PHP" or the "Group") announces that following an internal review of shareholdings and dealings by Directors, persons discharging managerial responsibilities and their connected persons, it has been ascertained that all of the 2,191,000 ordinary shares of 50p each in the capital of PHP ("Ordinary Shares") held by Nexus Group Holdings Limited ("Nexus"), representing approximately 6.52% of PHP's issued share capital, have been made subject to a debenture and fixed charge over all of Nexus' assets to its bank.
Harry Hyman, Managing Director of PHP, is a director of Nexus and as such Nexus is deemed to be a connected person of Harry Hyman.
Harry Hyman notified the Group in September 2003 that 960,000 Ordinary Shares held by Nexus Property Management Services Limited, a wholly-owned subsidiary of Nexus, were to be subject to a charge in favour of Nexus' bank. However, due to an administrative oversight, PHP did not announce this charge. Since then, there have been subsequent changes in the charges over Ordinary Shares held by Nexus which have not been notified. PHP was subsequently notified by Harry Hyman on 9 December 2008 that all of the 2,191,000 Ordinary Shares held by Nexus have been made subject to a debenture and fixed charge over all of Nexus' assets to its bank.
Harry Hyman has confirmed that Nexus is not currently in default in any of its banking commitments and that there is no current intention of Nexus to sell any of its shares in the Group
In addition to the non-beneficial interest in Ordinary Shares held by Nexus, Harry Hyman is beneficially interested in 44,772 Ordinary Shares, representing 0.13% of PHP's issued share capital. None of Ordinary Shares beneficially owned by Harry Hyman are subject to any third party charges.
