John Wood Group PLC ("Company") The Company was informed that on 3 April 2006, the Trustees of the John WoodGroup PLC US Employee Share Trust ("US EST"): * transferred 8,3333 ordinary shares in the capital of the Company at a consideration of ‚£1.285 per share, being 0.0016% of the share capital of the Company, to employees of the Company, and its subsidiaries, pursuant to an exercise of share options under the John Wood Group PLC (No 1) 2002 Executive Share Option Scheme; * transferred 5,417 ordinary shares in the capital of the Company at a consideration of ‚£1.58 per share, being 0.001% of the share capital of the Company, to employees of the Company, and its subsidiaries, pursuant to an exercise of share options under the John Wood Group PLC (No 1) 2002 Executive Share Option Scheme; * transferred 3,137 ordinary shares in the capital of the Company at a consideration of 0.0333 pence per share, being 0.0006% of the share capital of the Company, to employees of the Company, and its subsidiaries pursuant to an exercise of share options under the John Wood Group PLC (No 1) 2003 Long Term Retention Plan. The Company was informed that on 5 April 2006, the US EST: * transferred 56,250 ordinary shares in the capital of the Company at a consideration of 17¢â€¦â€œ pence per share, being 0.01% of the share capital of the Company, to employees of the Company, and its subsidiaries, exercising share options under the John Wood Group PLC 2000 Approved Executive Share Option Scheme and the John Wood Group PLC 2000 Unapproved Executive Share Option Scheme (together "Schemes"). Following these transactions, the US EST holds a total of 1,067,463 ordinaryshares representing 0.207% of the share capital of the Company.The class of discretionary beneficiaries for whom the US EST holds such sharesconsists of employees of the Company, including the following executivedirectors of the Company: Wendell R Brooks and Alan G Semple. Each of suchdirectors is accordingly deemed to be beneficially interested in all of suchshares held by the US EST.The transactions noted above do not involve any of the named executivedirectors or any persons discharging managerial responsibility.
