Notification of Transactions of Directors/

Persons Discharging Managerial Responsibility and Connected Persons

Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the "Company") announces that the following Executive Directors and PDMR exercised their options under the Interserve Sharesave Scheme 2009 on 20 August 2015.

The shares were either subsequently transferred by Capita Fiduciary (in its capacity as Trustee of the Interserve Employee Benefit Trust) into the names of the respective Executive Director/PDMR (or connected person), or sold, as indicated below.

These options were originally granted on 5 April 2012 at an exercise price of 238.00p per share. The Sharesave Scheme is an all-employee HMRC tax-advantaged share scheme and the exercise of options on maturity is not dependent upon performance criteria.

Executive Directors

1. 378 shares were acquired by Mr S L Dance and sold on 24 August 2015 at 553.50p per share. Mr Dance's interest in the ordinary shares of 10p each in the Company remains at 101,950 shares (0.07% of issued share capital).

2. 378 shares were acquired by Mr T P Haywood and transferred into the name of his wife, Mrs B A Haywood, on 25 August 2015. Mr Haywood now has an interest in 115,516 ordinary shares of 10p each in the Company (0.08% of issued share capital).

3. 378 shares were acquired by Mr B A Melizan and sold on 24 August 2015 at 553.50p per share. Mr Melizan interest in the ordinary shares of 10p each in the Company remains at 104,099 shares (0.07% of issued share capital).

4. 378 shares were acquired by Mr A M Ringrose on 25 August 2015. Mr Ringrose now has an interest in 510,393 ordinary shares of 10p each in the Company (0.35% of issued share capital).

PDMR

1. 378 shares were acquired by Mr T Bradbury and transferred into the name of his wife, Mrs G S Bradbury, on 25 August 2015. Mr Bradbury now has an interest in 154,140 ordinary shares of 10p each in the Company (0.11% of issued share capital).
