Warner Estate Holdings PLC21 February 2007 Warner Estate Holdings PLC ("the Company") Director's Shareholding Mr P W Collins, Finance Director of the Company, exercised share options over37,895 Ordinary shares of 5p in the Company today at an option price of 303.5p.The option was granted on 16 August 2001 and has been exercisable since 16August 2004, the performance criteria attached to the grant having been met infull. Mr Collins also exercised share options over 50,159 Ordinary shares of 5pin the Company today at an option price of 319p. The option was granted on 17July 2002 and has been exercisable since 17 July 2005, the performance criteriaattached to the grant having been met in full. Mr Collins subsequently sold all 88,054 shares today at 890p. Following theexercise and sale, Mr Collins retains a holding in 25,000 Ordinary shares of 5pin the Company, representing 0.044 per cent. of the Company's issued ordinaryshare capital.
