Warner Estate Holdings PLC02 January 2008 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner, P W Collins and M J Stevens, Directors of the Company,each purchased 70 Ordinary shares in the Company on 31 December 2007 at 363peach under the Company's All Employee Share Ownership Plan ("the AESOP").Messrs. P C T Warner, P W Collins and M J Stevens purchased 35 of their sharesas Partnership Shares and 35 shares each were purchased by the Company asMatching shares under the rules of the AESOP. All shares were purchased on theirbehalf by Capita IRG Trustees Limited, the Trustee of the AESOP. The Trusteewill hold the Shares in Trust for a minimum period of five years following thedate of the purchase. The shares purchased represent less than 0.001 per cent.of the Company's issued ordinary share capital. Ms SHarries and Messrs. D J Lanchester, J Peacock and V B Vaghela purchased 35 oftheir shares as Partnership Shares and 35 shares each were purchased by theCompany as Matching shares under the rules of the AESOP. Mr. M D Ovens purchased34 of his shares as Partnership Shares and 34 shares were purchased as MatchingShares under the rules of the AESOP. All shares were purchased on their behalfby Capita IRG Trustees Limited, the Trustee of the AESOP.
