Transactions in shares by Persons Discharging Managerial Responsibility (“PDMRs”)

RSA Insurance Group plc (the “Company”) received notification on 5 April 2016, of the following transactions in its ordinary shares of £1 each (“Ordinary Shares”) by PDMRs.
On 4 April 2016, awards granted on 3 April 2013 under the Company’s 2006 Long Term Incentive Plan (“LTIP”) and Scandinavian Deferred Bonus Plan (“Scandinavian Plan”) and on 13 March 2015 under the Performance Share Plan 2014 (“PSP”) vested (Compulsory Deferred Shares and Restricted Shares) or were released (Voluntarily Invested Deferred Shares and Scandinavian Plan Deferred Bonus Shares) in the amounts shown following assessment of conditions to which they were subject under the rules of the LTIP, Scandinavian Plan and PSP respectively.

1 Relates to one or more of Compulsory Deferred Shares, Restricted Shares, Voluntarily Invested Deferred Shares and, in the case of Patrick Bergander only, Scandinavian Plan Deferred Bonus Shares.
2 On 4 April 2016 shares were sold at a price of £4.718561 per share.
3 Retained shares were held within a UBS Nominee Account for all PDMRs with the exception of William McDonnell who transferred retained shares to a personal brokerage account.
4 Lapsed shares relate to Voluntarily Invested Deferred Matching, Compulsory Deferred Matching and Performance Shares under the LTIP.
