HSBC Bank plc12 August 2005 Date of notification: 12 August 2005 NOTIFICATION OF DIRECTORS' SHARE INTERESTS IN HSBC BANK PLC Interests in shares of HSBC Holdings plc ("the Company") arising under sections324 and 328 of the Companies Act 1985. Following the acquisition of CCF S.A. ("CCF") by HSBC Holdings plc, outstandingoptions over CCF shares granted (for nil consideration) have vested. On exerciseof the options, the CCF shares issued are exchangeable for ordinary shares inHSBC Holdings plc (HSBC shares) in the same ratio as for the acquisition of CCF- 13 HSBC for 1 CCF share. The HSBC shares are to be provided through the HSBCEmployee Benefit Trust 2001 (No.1) (the Trust), the Trustee of which is HSBCTrustee (C.I.) Limited. Mr C-H Filippi, a director of HSBC Bank plc, currently holds options over 43,000CCF shares which he is obliged, upon exercise, to exchange for 559,000 (43,000 x13) HSBC shares. As a beneficiary of the Trust, Mr Filippi also has a technical interest in allof the HSBC shares held by the Trust (including the HSBC shares, whichcorrespond to his option over CCF shares, enumerated above). As a result, Mr Filippi also ceased to have an interest in 22,534,513 HSBC Shares held by and remaining in the Trust. At 11 August 2005, after this transaction, the sub-Trust for the benefit of C-H Filippi held a total of 559,000 HSBC Shares and Mr Filippi ceased to have atechnical interest in the 22,534,513 other shares held by the Trust.
