Notification of transactions by persons discharging managerial responsibility under DTR 3.1.4R(1)

Ultra Electronics Holdings plc.

The Company announces that on 11th March 2011 Sanne Trust Company Limited, acting as Trustee for the Ultra Electronics Long Term Incentive Plan 2007 ("the Plan"), purchased 24,700 ordinary 5p shares of the Company (representing approximately 0.035% percent of issued share capital of the Company) at a price of £16.99 per share based on the market price on 10th March 2011.

These purchases were made to increase the number of shares held by the Trustees in respect of awards made in March 2011 under the Plan, to the Company's Executive Directors and Persons Discharging Managerial Responsibility.
