Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons

Hargreaves Lansdown plc (the "Company") has received notification today from Nick Marson, a PDMR, that on 12th October 2012, his wife Mrs J Marson, a Connected Person, sold a total of 15,905 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of 706p per share. The number of ordinary shares sold represented 0.0034% of the ordinary shares in issue.

Following this transaction, the beneficial shareholding of Nick Marson (including his connected persons) is 659,821 ordinary shares representing 0.14% of the ordinary shares in issue.

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.
