Grant of Awards
On 21 March 2017 awards over ordinary shares of £0.001 each in the capital of Equiniti Group plc were granted under the Equiniti Group Deferred Annual Bonus Plan 2015 (the "DABP") in respect of 2016 financial year performance and the Equiniti Group Performance Share Plan (the "PSP") to persons discharging managerial responsibilities as follows:

DABP
Each award under the DABP Scheme is structured as a conditional award that shall vest on the third anniversary of the grant of the award subject to continued service and in accordance with the DABP scheme rules.
PSP
No consideration was paid for the grant of the PSP awards which are structured as nil cost options and is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company over the period 1 January 2017 to 31 December 2020. The awards will normally vest on the later of 21 March 2020 and the date of determination of the performance conditions, and will then normally remain exercisable until the day before the tenth anniversary of the date of grant provided the individual is an employee or officer within the Equiniti Group on that date.
Once the awards have vested, the PDMRs will be required to hold the ordinary shares for a further two year period after any sales for tax arising on the vesting of the shares.
