NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
Meggitt PLC
On Monday 18 August 2008 the following transactions of Directors and Persons Discharging Managerial Responsibility (PDMR) of Meggitt PLC took place in relation to the Meggitt Equity Participation Plan 2005. In all of the following transactions:
Matching awards and investment share purchases are all of the 5p ordinary shares of Meggitt PLC;
The investment shares detailed below were purchased and will be held by Halifax EES Trustees International as nominee for the matching award participants;
The earliest vesting date for the matching awards are 18 August 2011 subject to certain performance conditions set out in the Plan Rules; and
Meggitt PLC was informed of these matching awards on Monday 18 August 2008.
A. MR TERENCE TWIGGER (director) - matching award of 133,038 ordinary shares.
B. MR PHILIP ERNEST GREEN (director) - matching award of 60,976 ordinary shares.
C. MR STEPHEN GARETH YOUNG (director) - matching award of 79,823 ordinary shares.
D. DR RICHARD WILLIAM GREAVES (person discharging managerial responsibility) - matching award of 62,028 ordinary shares.
E. MR DAVID GRAHAM JOHNSON (person discharging managerial responsibility) - (i) purchase of 3,715 Investment Shares at a price of 225.25 pence. Following the above purchase Mr Johnson is deemed to be interested in a total of 27,477 Meggitt PLC ordinary shares, representing approximately 0.004% of the Company's issued share capital as at 19 August 2008; (ii) matching Award of 38,803 ordinary shares.
F. MR JOHN J STOBIE (person discharging managerial responsibility) - matching award of 58,469 ordinary shares.
G. MR KENNETH SCWARTZ (person discharging managerial responsibility) - (i) purchase of 24,385 investment shares at a price of 225.25 pence. Following the above purchase Mr Schwartz is deemed to be interested in a total of 66,816 Meggitt PLC ordinary shares, representing approximately 0.01% of the Company's issued share capital as at 19 August 2008; (ii) matching Award of 79,473 ordinary shares.
