Warner Estate Holdings PLC31 January 2008 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner and P W Collins, Directors of the Company, each purchased74 Ordinary shares, and Mr M J Stevens, a Director of the Company, purchased 72Ordinary shares in the Company today at 340p each under the Company's AllEmployee Share Ownership Plan ("the AESOP"). Messrs. P C T Warner and P WCollins purchased 37 of their shares as Partnership Shares and 37 shares eachwere purchased by the Company as Matching shares under the rules of the AESOP.Mr M J Stevens purchased 36 of his shares as Partnership Shares and 36 shareswere purchased as Matching Shares under the rules of the AESOP. All shares werepurchased on their behalf by Capita IRG Trustees Limited, the Trustee of theAESOP. The Trustee will hold the Shares in Trust for a minimum period of fiveyears following the date of the purchase. The shares purchased represent lessthan 0.001 per cent. of the Company's issued ordinary share capital.
