Award of RSUs by PureTech Health plc to Michael MacLean pursuant to its Performance Share Plan. The RSUs were granted for nil consideration.

The RSUs will vest in the following manner: 25% to vest on 30 June 2017, and remaining 75% shall vest in equal semi-annual instalments over the three years following 18 January 2017; provided that Michael MacLean continues to be employed by PureTech Health plc on each such vesting date.

Following vesting, Michael MacLean will be required to make a payment of one pence per Ordinary Share on settlement of the RSUs.
