On 9 May 2014, RSA Insurance Group plc (the “Company”) received notification of the following transactions in its ordinary shares of 27.5p1 each (“Ordinary Shares”) by PDMRs.
Under the terms of the Company’s all employee Sharebuild Plan (an HMRC approved Share Incentive Plan), the Matching Shares awarded on 9 May 2011 to the current PDMR’s listed below have vested.

1. The Company’s Ordinary Shares have been sub-divided and consolidated, and as at 8.00am on 12 May 2014, new ordinary shares of £1 each in the Company were admitted to trading on the main market of the London Stock Exchange.
