Notification of Directors' Interests

Pursuant to the Company's obligations under paragraph 3.1.4R of the Disclosure and Transparency Rules, BBA Aviation plc hereby notifies the following dealings in BBA Aviation plc ordinary shares of 29 16/21 pence each in the capital of the Company:

1 On 15 March 2011 the following conditional share awards and matching awards over BBA Aviation plc ordinary shares of 29 16/21 pence each were made under the terms of the Company's 2006 Deferred Bonus Plan to the directors listed below:

The conditional share awards were made in respect of the compulsorily deferred element of the 2010 annual bonus payment and in certain circumstances are forfeit if the director leaves within three years of the award. The matching awards are subject to the achievement of performance conditions and, if and to the extent the awards vest, shares will be released at nil cost in accordance with the plan's rules.

2 On 15 March 2011 the following individuals acquired beneficial interests in shares under the Company's 2006 Deferred Bonus Plan

Simon Pryce 16,651

Tracy Hoad (wife of Mark Hoad) 10,807

These shares were acquired by the directors using part of their 2010 annual bonus payment in return for which, and for agreeing to hold the shares for a three-year period, the directors have been granted on 16 March 2011 matching awards over BBA Aviation plc ordinary shares of 29 16/21 pence as listed below:

Mark Hoad 22,056

The matching awards are subject to the achievement of performance conditions and, if and to the extent the awards vest, shares will be released at nil cost in accordance with the plan's rules.

3 The Company has received notification that Mark Hoad, Group Finance Director, has transferred 31,608 BBA Aviation plc ordinary shares of 29 16/21 pence to Tracy Hoad (wife of Mark Hoad) on 15 March 2011.

As a result of the transactions set out above the total beneficial interests in ordinary shares of these individuals are:
