Evolution Group PLC06 July 2005 Evolution Group plcDirectors' shareholdings For immediate release 6 July 2005 Evolution Group Plc Sanne Trustee Company UK Ltd as trustee of the Evolution Employee ShareIncentive Plan Trust The Evolution Group Plc ("Evolution" or the "Company"), the investment bank andretail fund management group, announces that Sanne Trustee Company UK Limited(the "Trustee") in its capacity as the trustee of the Evolution Employee ShareIncentive Plan (the "Plan")yesterday purchased 10,129 Ordinary shares of 1p eachat a price of 128 pence per share and that Evolution has today issued 8,438Ordinary shares of 1p each credited as fully paid at 128 pence per share to theTrustee as "matching shares" under the terms of the Plan. The Trustee holds theshares as Nominee for the participants of the Plan.
