Mr. Neil James Corfield Thomas, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 27 September 2010, that on 24 September 2010 in London he purchased 160 ordinary shares of 0.5 pence each in the Company at £7.4042 per share pursuant to the Company's Dividend Reinvestment Plan. This equated to 0.00016% of the voting issued share capital.

Mr. Thomas' total interest in shares following this notification is 6,723 ordinary shares, representing 0.00672% of the voting issued share capital of WS Atkins plc.
