Awards under The OpSec Management Incentive Plan and Directors' shareholdings

OpSec Security Group plc (the "Company'), the supplier of anti-counterfeiting technologies, services and programmes announces that, on 23 August 2011, it issued and allotted 3,950,000 ordinary shares of 5p each in the Company (the "Shares") to certain employees pursuant to the exercise by such employees, following the satisfaction of the relevant performance conditions, of options granted to them under The OpSec Management Incentive Plan 2010 (the "Scheme").

Employees exercising options under the Scheme included Mark Turnage (Chief Executive) and Mike Angus (Finance Director) who acquired 1,900,000 Shares and 1,250,000 Shares, respectively. Mark Turnage and Mike Angus had previously accepted the offer by Orca Holdings Limited in respect of, 475,000 and 100,000 of their options under the Scheme. Following completion of these transactions Mark Turnage will hold 1,836,359 Shares and Mike Angus will hold 1,538,169 Shares. These holdings will represent 2.30% and 1.92 % of the Company's issued share capital respectively.

Application has been made for the new Ordinary Shares to be admitted to AIM and dealings are expected to commence on 30 August 2011.

Following the issue of the Shares, the Company's total issued and voting share capital will comprise of 79,995,858 shares (comprised of 59,995,858 ordinary shares of 5p each and 20,000,000 redeemable convertible preferred shares). 79,995,858 is the figure which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.
