Director/PDMR Shareholding

Ashtead Group PLC 20 June 2014 Director / PDMR Shareholding Ashtead Group plc (the "Company") announces that on 19 June 2014 it made theannual awards for 2014 to 133 senior executives under its Performance SharePlan ("PSP"). Awards under the PSP comprise the conditional right to receive ordinary sharesof 10p each which normally vest on the third anniversary of grant subject tocontinued employment and the achievement of challenging performance targets setby the Remuneration Committee. The Company intends to utilise shares held bythe Group's Employee Share Ownership Trust to fulfil any obligations to awardshares to employees which may arise in 2017.
