Evolution Group PLC20 June 2006 20 June 2006 The Evolution Group Plc Directors' Interest and Transactions in Own Shares The Evolution Group Plc (the "Company") has received notification fromEvolution EBT Limited as Trustee of The Evolution Group Plc Employees'Share Trust (the "Trust") (a discretionary trust of which all employeesof The Evolution Group Plc and its subsidiaries are beneficiaries), thaton 19 June 2006 25,000 ordinary shares of 1p each in the Company ("Shares")were either transferred to or sold on behalf of an employee who had exercisedcall rights and options over Shares held in the Trust. None of the Shares referred to above was transferred to or sold on behalfof any of the executive directors (the "Directors") of the Company. However,each of the Directors is a member of the class of discretionary beneficiariesof the Trust and is consequently taken to have an interest in all the Sharesheld in the Trust. As a consequence of the vesting of the aforementionedShares to employees other than the Directors, the Directors have ceasedto be interested in those Shares. As at 19 June 2006, the Trust held a total of 9,066,807 Shares, representingapproximately 3.9325 % of the Company's issued share capital at that date.
