On 4 August 2008 the following conditional awards over ordinary shares of 2 pence each in the capital of The Innovation Group plc were made under The Innovation Group plc Performance Share Plan (the 'Plan") to the PDMR noted below:

The awards will ordinarily vest on the third anniversary of grant subject to the rules of the Plan, continued employment and to the extent earnings per share targets and a total shareholder return targets are achieved.
No consideration was paid for the grant of the awards and no consideration is due on the vesting on the award.
This notification is made in accordance with rule 3.1.4R of the UKLA's Disclosure and Transparency Rules.
