John Wood Group PLC ("Company") NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONSDISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONSIn accordance with DR 3.1.4R(1)(a): on 5 April 2006 the Company awardedRestricted Shares to the Directors of the Company as noted below, under theterms of the John Wood Group PLC Long Term Incentive Scheme.The shares shall be held by the Trustees of the John Wood Group PLC EmployeeShare Trust ("EST") for a period of two years. During that period, theDirectors shall have a beneficial interest in the shares. The shares shall onlybe transferred to the respective Directors at the end of the two year period ifthe terms of the restriction are met.
