A) HENDERSON GROUP RESTRICTED SHARE PLAN (RSP)
Restricted shares representing a portion of the Director's annual bonus for 2007 which was 'paid' in shares rather than cash. Will vest in June 2011 provided Director still in employment.
Under the Scheme of Arrangement, shares in Old Henderson Group were exchanged for shares in New Henderson Group. Interest in RSP as a result of the Scheme of Arrangement effective 31 October 2008: 52,881 shares
B) HENDERSON GROUP LONG TERM INCENTIVE PLAN (LTIP)
2006 LTIP: performance share awards capable of vesting in March 2009 subject to relative TSR performance over 3 years 2006 to 2008.
2007 LTIP: performance share awards capable of vesting in March 2010 subject to relative TSR performance over 3 years 2007 to 2009.
